These Terms of Service (“Terms”) govern your access to and use of DigiElo’s websites, mobile applications, verified credential features, proximity features, Elo AI assistant, profiles, partner profiles, booking features, messages, safety tools, business features, and related services (collectively, the “Services”). In these Terms, “DigiElo,” “we,” “us,” or “our” means DigiElo, Inc. “You” means the person using the Services or the organization on whose behalf the person uses the Services.

1. Acceptance of Terms

By creating an account, accessing, downloading, browsing, or using the Services, you agree to these Terms. If you do not agree to these Terms, do not use the Services. If you use the Services on behalf of a company, business, event host, employer, merchant, partner, or other organization, you represent that you have authority to bind that organization to these Terms. Certain features may be subject to additional terms, notices, consents, settings, or policies. If additional terms apply, they become part of your agreement with DigiElo for that feature.

3. What DigiElo Is

DigiElo is a verified-human, AI-assisted, proximity-based identity and discovery platform. DigiElo helps users prove selected verified attributes, manage identity signals, discover relevant people, places, opportunities, and offers, and control when identity or profile information is revealed.

DigiElo is built around verified credentials, user-controlled identity, selective disclosure, consent-based proximity activation, trusted digital interaction, and privacy-by-design.

DigiElo may support features such as verified credentials, profiles, Elo AI assistance, Hello Zone, Hot Zone, blurred profile previews, mutual profile unlocking, partner discovery, bookings, events, deals, employment or services discovery, reporting, blocking, safety moderation, and related features.

DigiElo is a platform and technology service. DigiElo does not guarantee safety, compatibility, identity truth beyond verified attributes, employment, hiring, booking quality, event quality, merchant performance, partner performance, offline outcomes, or the conduct of any user or third party.

4. Eligibility

The Services are intended for adults. You must be at least 18 years old, or the age of legal majority where you live, to use the Services unless DigiElo launches a separate age-appropriate experience with required safeguards.

You may not use the Services if you are prohibited by law, previously removed for safety or integrity reasons, or using the Services for impersonation, stalking, surveillance, harassment, scraping, fraud, or competitive misuse.

You agree to provide accurate information and to keep your account information current.

5. Accounts and Security

You are responsible for your account, device, login credentials, passkeys, phone verification, and all activity under your account.

DigiElo may support device authentication, passkeys, Face ID or similar device-level unlock tools, phone verification, camera verification, liveness checks, verified credentials, and other security tools. Some device-level biometric tools are controlled by your device provider. Unless DigiElo separately tells you otherwise, DigiElo does not receive your raw device biometric template from your device provider.

You may not sell, rent, transfer, share, or provide unauthorized access to your account. You must promptly notify DigiElo of suspected unauthorized access, account compromise, or security incidents at info@digielo.com.

6. Verified Credentials

DigiElo may allow you to create, receive, store, present, or use verified credentials. A verified credential may confirm a specific attribute, such as a verified phone number, verified account, verified human presence, verified profile attribute, verified business status, or another credential made available by DigiElo or a credential provider.

A verified credential confirms only the specific attribute checked. It does not mean DigiElo has verified a person's character, intentions, criminal history, employment eligibility, professional licensing, financial reliability, suitability, offline safety, or future behavior.

You may not submit false information, use someone else's identity, forge or alter a credential, bypass verification, misuse a credential badge, or imply that DigiElo has verified something it has not verified.

DigiElo may revoke, suspend, hide, re-check, or limit credentials if we believe they are inaccurate, expired, fraudulent, misused, compromised, or legally restricted.

7. Elo AI Terms

Elo is DigiElo's context-aware AI assistant. Elo may help suggest profile prompts, verified credential uses, introductions, events, deals, jobs, business opportunities, partner matches, booking options, interaction guidance, safety prompts, and summaries.

Elo may use information such as your profile, verified credentials, preferences, location or proximity settings, interaction history, mood or social-energy inputs, booking activity, and app behavior where permitted by your settings and our Privacy Policy.

Elo outputs are suggestions only. They may be wrong, incomplete, biased, delayed, outdated, or unsuitable for your circumstances. You decide whether to act.

Elo is not a lawyer, doctor, therapist, financial advisor, investment advisor, emergency service, employment agent, background checker, safety guarantor, or guarantee of compatibility, opportunity, hiring, booking quality, or offline outcome.

DigiElo may monitor, log, test, filter, evaluate, restrict, or improve Elo interactions for safety, quality, compliance, security, debugging, abuse prevention, and service improvement, as described in the Privacy Policy.

8. Hello Zone, Hot Zone, and Proximity Activation

DigiElo may offer location-based and proximity-based features, including Hello Zone and Hot Zone.

Hot Zone may show broad area activity, avatars, partner locations, event areas, business activity, offers, or other discovery signals. Hot Zone does not automatically unlock direct contact, identity access, messaging, precise location, or full profile access.

Hello Zone may enable closer-range activation, candidate introductions, profile previews, partner discovery, booking prompts, event check-ins, business interactions, or chat features only when DigiElo's rules are satisfied.

Presence does not equal access. Being near another user does not give anyone the right to contact, identify, follow, message, locate, or profile that person.

DigiElo may use consent gates such as discovery settings, profile visibility settings, verified credential checks, proximity thresholds, relevance filters, safety checks, Elo screening, mutual profile unlocking, direct chat acceptance, and temporary connection expiration.

DigiElo may blur names, photos, profile details, identity details, movement, or location until the required consent conditions are met. DigiElo may reduce precision, delay display, jitter movement, aggregate signals, hide users, disable discovery, limit visibility, or block interaction to protect privacy, safety, legal compliance, or platform integrity.

8. Hello Zone, Hot Zone, and Proximity Activation

DigiElo may offer location-based and proximity-based features, including Hello Zone and Hot Zone.

Presence does not equal access. Being near another user does not give anyone the right to contact, identify, follow, message, locate, or profile that person.

9. Location, Bluetooth, Camera, Notifications, and Device Permissions

Some features may require device permissions, such as location, Bluetooth, camera, photos, notifications, Face ID or device authentication, calendar access, or similar permissions. DigiElo requests permissions for disclosed app functions.

Location: may support Hot Zone, Hello Zone, verified presence, local opportunities, partner discovery, booking relevance, safety controls, and fraud prevention.
Bluetooth or nearby-device signals: may support proximity detection or verified presence.
Camera or photos: may support profile photos, credential verification, liveness checks, or content you choose to upload.
Notifications: may support account alerts, safety notices, booking reminders, proximity prompts, credential updates, and user-approved discovery alerts.
Device authentication: may help secure your account.

You can usually disable permissions in your device settings, but some features may not work without them. DigiElo is not a tracking service, surveillance service, emergency service, or law-enforcement service.

10. User Profiles, Partner Profiles, Bookings, and Content

You may provide content to DigiElo, including profile information, photos, messages, booking details, partner information, business listings, event listings, reviews, résumé-style information, preferences, or other materials.

You are responsible for your content and must have the legal right to provide it.

You may not submit content that is unlawful, false, misleading, infringing, harassing, abusive, discriminatory, threatening, exploitative, sexually exploitative, invasive of privacy, fraudulent, defamatory, or otherwise harmful.

DigiElo may remove, restrict, hide, blur, preserve, or moderate content.

11. User Content License

You keep ownership of lawful content you submit to DigiElo.

You grant DigiElo a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, process, display, transmit, format, translate, moderate, analyze, secure, personalize, improve, and provide DigiElo using your content. This license is limited to operating, protecting, improving, and providing the Services and features you use, subject to the Privacy Policy.

This license ends when your content is deleted from DigiElo, except where retention is reasonably necessary for backups, legal compliance, safety, fraud prevention, dispute resolution, enforcement, or legitimate business records.

12. DigiElo Intellectual Property

DigiElo owns all rights in and to the DigiElo platform and ecosystem, including the app, website, software, source code, object code, systems, workflows, user interface, user experience, designs, graphics, databases, APIs, SDKs, documentation, business logic, safety systems, matching logic, proximity architecture, verified credential workflows, consent protocol, identity architecture, Elo, Hello Zone, Hot Zone, platform names, logos, trademarks, service marks, trade dress, non-user content, and all improvements.

Using DigiElo does not give you ownership of DigiElo technology, design, confidential information, business methods, product concepts, workflows, algorithms, data models, prompts, AI systems, compatibility logic, proximity logic, verification flows, or brand assets.

All rights not expressly granted are reserved by DigiElo.

13. Anti-Copying, Anti-Scraping, and Competitive Misuse

You may not access or use DigiElo to copy, clone, benchmark, scrape, crawl, harvest, index, monitor, reproduce, modify, frame, mirror, reverse engineer, decompile, disassemble, extract prompts from, extract training data from, reconstruct, simulate, or create a competing or derivative product or service.

You may not use DigiElo, Elo, Hello Zone, Hot Zone, verified credential flows, profile unlock flows, proximity activation, consent workflows, screenshots, screen recordings, API responses, app behavior, app metadata, content, prompts, or user data to build or improve a competing platform, train or fine-tune an AI model without written permission, create a copycat feature, bypass consent controls, collect identity or proximity data, infer sensitive user locations, or commercialize DigiElo data or outputs.

You may not use bots, scripts, fake accounts, automated tools, emulator farms, unauthorized APIs, credential stuffing, or other technical methods to access DigiElo without written permission.

Violation of this section may cause irreparable harm to DigiElo. DigiElo may seek injunctive relief, damages, account termination, technical blocking, and any other remedies available by law.

14. Confidential and Pre-Release Features

If DigiElo gives you access to beta, private, invite-only, confidential, unreleased, investor-preview, partner-preview, or testing features, you agree not to disclose, copy, record, screenshot, reverse engineer, publish, or use those features except as DigiElo allows in writing.

This includes non-public features, screen flows, product roadmaps, interface designs, technical behavior, pricing tests, verification flows, AI prompts, proximity workflows, business concepts, and partner materials.

This section does not restrict information that DigiElo has already made public without confidentiality limits.

15. Feedback

If you submit ideas, suggestions, comments, bug reports, improvements, concepts, feature requests, or other feedback to DigiElo, you grant DigiElo the right to use, modify, commercialize, publish, and exploit that feedback without restriction, attribution, payment, or obligation to you, unless a separate signed agreement says otherwise.

16. Acceptable Use

You may not use DigiElo to stalk, follow, track, harass, threaten, exploit, shame, dox, bully, surveil, impersonate, bypass consent controls, collect or expose another user's location or identity, post unlawful or harmful content, discriminate unlawfully, spam, scam, defraud, phish, upload malware, interfere with DigiElo's systems, misuse Elo, or use the Services for unlawful, unsafe, or unauthorized purposes.

DigiElo may investigate, restrict, suspend, terminate, or report activity that violates these Terms, the Community Guidelines, or applicable law.

17. Community Safety and User-Generated Content Controls

DigiElo is built for trusted digital interaction, verified presence, consent, and privacy-by-design. DigiElo may provide reporting, blocking, hiding, muting, profile blurring, safety review, account restriction, and moderation tools.

DigiElo may act on safety reports, user signals, fraud signals, proximity misuse, identity misuse, or legal requests. DigiElo does not guarantee that every user is safe, honest, compatible, eligible, qualified, or acting lawfully.

When meeting anyone in person, use caution, meet in public where appropriate, tell someone you trust, and stop interacting if you feel uncomfortable. If you are in immediate danger, contact local emergency services. DigiElo is not an emergency response provider.

18. Partners, Businesses, Events, Employers, and Bookings

DigiElo may help users discover partners, businesses, events, employers, service providers, venues, offers, bookings, appointments, or other opportunities.

Unless DigiElo expressly states otherwise, third parties are responsible for their own profiles, listings, prices, availability, booking terms, services, products, hiring decisions, refunds, cancellations, permits, licenses, insurance, safety, staff, representatives, taxes, legal compliance, and offline interactions.

DigiElo does not guarantee partner quality, event safety, booking availability, service outcome, employment outcome, merchant performance, offer accuracy, or third-party conduct.

If you engage with a third party through DigiElo, you may be subject to that third party's own terms, privacy policy, cancellation rules, and refund rules.

19. Employment, Work, and Services Discovery

DigiElo may support job, gig, collaboration, résumé, business, or services discovery. DigiElo does not guarantee jobs, interviews, hiring, wages, worker classification, legal compliance, professional licensing, background checks, employment eligibility, business quality, workplace safety, or employer conduct.

Employers, recruiters, businesses, and service providers are responsible for their own postings, screening, interviews, hiring, pay, taxes, licenses, insurance, workplace rules, and anti-discrimination obligations.

Elo may suggest opportunities or explain why something may be relevant, but Elo suggestions are not hiring decisions and may be wrong.

20. Payments, Subscriptions, and Purchases

DigiElo may offer paid features, subscriptions, verification services, business tools, bookings, partner offers, event access, or other paid services. Prices, taxes, renewal terms, cancellation options, and refund rules will be shown at purchase where required.

Some purchases may be processed by app marketplaces, payment processors, partners, merchants, venues, hosts, or other third parties. Those third parties may have their own terms.

Unless DigiElo expressly states that it is the seller, third-party merchants, partners, venues, hosts, employers, or service providers are responsible for their own goods, services, bookings, refunds, cancellations, taxes, and compliance.

21. No Current Token, Crypto, or Investment Feature

The current DigiElo consumer app is based on verified credentials and trusted digital interaction. DigiElo does not currently provide token sale, staking, crypto exchange, crypto rewards, mining, investment products, securities, dividends, yield, passive income, liquidity promises, wallet functionality, or speculative token functionality through the consumer app.

Any future token, wallet, staking, governance, or crypto-related feature would require separate terms, compliance review, jurisdictional restrictions, and user disclosures before launch.

Nothing in DigiElo is financial, investment, tax, legal, or securities advice.

22. App Marketplace Terms

If you download DigiElo through a third-party app marketplace, these Terms are between you and DigiElo, not the app marketplace.

DigiElo is responsible for DigiElo's app, Services, support, content, privacy practices, and legal claims to the extent required by law. The app marketplace is not responsible for maintaining or supporting DigiElo unless its own terms say otherwise.

Your license to use the DigiElo app is limited to use on devices that you own or control and as permitted by the applicable marketplace, device, and usage rules.

You agree to comply with applicable app marketplace rules, device rules, and third-party terms when using DigiElo.

The app marketplace and its affiliates may be third-party beneficiaries of this section and may enforce this section where applicable.

23. Export Control and Sanctions

You may not use, access, download, or export the Services in violation of U.S. export control, sanctions, or trade laws. You represent that you are not located in an embargoed country, not on a restricted-party list, and not using the Services for prohibited purposes.

24. IP Complaints

If you believe content on DigiElo infringes your intellectual property rights, contact DigiElo at info@digielo.com with the subject line “IP Complaint.” Your notice should identify the work claimed to be infringed, the content you believe is infringing, your contact information, a statement that you have a good-faith belief the use is unauthorized, and any other information required by applicable law.

DigiElo may remove or restrict content, suspend repeat infringers, and request additional information before acting.

25. Moderation and enforcement

DigiElo may review, remove, blur, restrict, downrank, preserve, suspend, terminate, or disable accounts, profiles, content, credentials, bookings, listings, chats, proximity visibility, partner access, or other features when DigiElo believes action is needed for safety, fraud prevention, legal compliance, user protection, platform integrity, or enforcement of these Terms.

DigiElo may preserve evidence and cooperate with lawful requests where required or permitted. DigiElo may provide an appeal process where appropriate, but urgent safety restrictions may remain active during review.

26. Service availability and changes

DigiElo may be unavailable, delayed, interrupted, inaccurate, or changed from time to time. DigiElo may test features, limit features by region, modify settings, disable functions, or discontinue features.

DigiElo is not responsible for losses caused by service interruptions, third-party outages, device failures, connectivity issues, app marketplace rules, government restrictions, or events outside DigiElo’s reasonable control.

27. Disclaimers

DigiElo is provided “as is” and “as available.” To the maximum extent permitted by law, DigiElo disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, safety, compatibility, uninterrupted operation, and error-free performance.

DigiElo does not warrant that users are safe, honest, compatible, eligible, or qualified; that verified credentials prove anything beyond the verified attribute shown; that Elo outputs are accurate or suitable; that proximity signals are exact; that bookings, offers, events, jobs, or partners will meet expectations; or that offline interactions will be safe or successful.

Some jurisdictions do not allow certain disclaimers, so some disclaimers may not apply to you.

28. Limitation of liability

To the maximum extent permitted by law, DigiElo and its officers, directors, employees, contractors, affiliates, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, goodwill, reputation, business, opportunities, employment, bookings, offers, or relationships.

To the maximum extent permitted by law, DigiElo’s total liability for all claims relating to DigiElo will not exceed the greater of: (1) the amount you paid DigiElo in the 12 months before the claim; or (2) $100.

This limitation does not exclude liability that cannot be excluded by law.

29. Indemnity

You agree to defend, indemnify, and hold harmless DigiElo and its officers, directors, employees, contractors, affiliates, agents, licensors, and service providers from claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising from or related to your use or misuse of DigiElo, your content, your violation of these Terms, your violation of law, your infringement or misuse of another person’s rights, your fraud, harassment, stalking, scraping, impersonation, unsafe conduct, your business/event/partner/employer/merchant/service/booking activity, or your offline interactions with users or third parties.

30. Dispute Resolution

Before filing a claim, you and DigiElo agree to try to resolve disputes informally by contacting each other.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules, except where applicable law requires otherwise.

Unless applicable law requires a different forum, disputes relating to these Terms or the Services will be handled in courts located in Delaware. Nothing in this section prevents either party from seeking emergency injunctive or equitable relief for intellectual property misuse, platform abuse, scraping, security threats, or unauthorized access.

31. Changes to These Terms

DigiElo may update these Terms from time to time. If changes are material, DigiElo will provide notice through the app, website, email, or another reasonable method.

Your continued use after the effective date means you accept the updated Terms unless applicable law requires separate consent. If you do not agree, stop using the Services.
